We are offering investors the opportunity to purchase shares in Girls of PodcastOne LLC (“GOP”) — a newly formed entity designed to participate in the growth of leading female podcasters. GOP, LLC has entered into agreements with select podcasters under which, in exchange for an upfront payment, the company receives a defined percentage of the podcasters’ future revenues, including advertising, sponsorships, and related income streams. This structure allows investors to share in the financial success of specific creators—earning cash flows tied directly to their continued popularity, audience growth, and commercial performance.
Offering Overview
The offering is being made in the United States to accredited investors through the XChange Place Platform. Girls of PodcastOne LLC (“GOP”) is a special purpose vehicle that holds contractual revenue-share agreements with PodcastOne, entitling it to a portion of advertising and sponsorship revenues generated by select female podcasters, including Kaitlyn Bristowe (Off the Vine), Scheana Shay (Scheananigans), Melissa Gorga (On Display), Kail Lowry (Coffee Convos), Brandi Glanville (Unfiltered), and Courtney Skippon (After Reality), among others. Membership interests in GOP are being offered pursuant to a Private Placement Memorandum (“PPM”), which is available for download through the XChange Place Platform. Investors are encouraged to carefully review the PPM and all associated risk disclosures prior to making any investment decision.
