The Partnership’s primary investment objective is to seek to realize long-term capital appreciation and cash flow from its investments and engage in trading activities for short- term gain. The Investment Manager intends to seek to achieve these objectives by exploiting current opportunities in distressed securities (including mortgage-backed and asset-backed securities) and investing in a variety of other fixed-income structured finance products, as well as corporate debt and equity. The Partnership may also take long or short positions in derivative and equity instruments for hedging and speculative purposes, including investments in credit default swaps, options, futures, corporate derivatives and various other commodities and contracts. No assurance can be given, however, that the Partnership will achieve its objective, and investment results may vary substantially over time and from period to period. Offering Overview

The minimum initial investment that will be accepted from a new Limited Partner is $250,000. The minimum additional capital contribution that will be accepted from an existing Limited Partner is $100,000. In each case, the General Partner has discretion to accept lesser amounts. Generally, new Limited Partners will be admitted on the first day of each month, and withdrawals may be made on the last day of each quarter upon 90 days’ prior written notice, subject to a 5% early withdrawal fee on withdrawals made during the first 12 months of each investment tranche and certain other restrictions (e.g., notice and minimum amounts) as described herein (unless, in each case, the General Partner, in its sole discretion, permits subscriptions or withdrawals at another time)
